1. Agreement to Terms
By accessing or using Alumnia ("the Platform"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our services.
These terms apply to all visitors, users, and others who access or use the Platform. Your organization may have additional terms that govern your use of Alumnia within their community.
2. Description of Service
Alumnia is an alumni community management platform that enables organizations to connect their members. The Platform provides features including:
- Member profiles and directories
- Professional networking and connections
- Event management and registration
- Chapter and regional group organization
- Community communication tools
3. User Accounts
3.1 Account Creation
To use certain features, you must create an account. You agree to:
- Provide accurate and complete information during registration
- Maintain and promptly update your account information
- Keep your login credentials secure and confidential
- Notify us immediately of any unauthorized account access
3.2 Account Eligibility
Access to specific organizational communities on Alumnia requires verification or invitation by that organization's administrators. You must be at least 16 years old to create an account.
4. Acceptable Use
You agree not to use the Platform to:
- Violate any applicable laws or regulations
- Impersonate another person or entity
- Harass, abuse, or harm other users
- Send spam or unsolicited communications
- Upload malware or malicious content
- Attempt to gain unauthorized access to the Platform
- Interfere with the Platform's operation or security
- Scrape, collect, or harvest user data without permission
- Use the Platform for commercial purposes without authorization
5. User Content
5.1 Your Content
You retain ownership of content you submit to the Platform. By posting content, you grant us a non-exclusive, worldwide license to use, display, and distribute your content as necessary to provide our services.
5.2 Content Standards
All content must comply with our Community Guidelines and must not be:
- Illegal, defamatory, or fraudulent
- Infringing on intellectual property rights
- Containing personal information of others without consent
- Sexually explicit or violent
- Discriminatory or hateful
5.3 Content Moderation
We reserve the right to remove content that violates these terms or our Community Guidelines. Organization administrators may also moderate content within their communities.
6. Data Privacy and Consent
Your privacy is important to us. By using the Platform, you consent to the collection and use of your information as detailed in our Privacy Policy.
- Data Processing: We process your personal data to provide the Platform's services.
- Consent Management: You have control over optional data processing activities. You can withdraw consent for these activities at any time in your account settings.
- Public Profile: Information you add to your profile will be visible to other members of your organization's community.
7. Intellectual Property
The Platform, including its design, features, and content (excluding user-submitted content), is owned by Alumnia and protected by copyright, trademark, and other laws. You may not copy, modify, or distribute our intellectual property without permission.
8. Third-Party Services
The Platform may integrate with or link to third-party services (e.g., LinkedIn). Your use of these services is governed by their respective terms and policies. We are not responsible for third-party services or content.
9. Subscription and Billing Terms
This section applies to organizations ("Subscribers") that subscribe to paid Alumnia plans. Individual members accessing the Platform through their organization's subscription are not directly billed by Alumnia.
9.1 Subscription Plans and Pricing
Alumnia offers tiered subscription plans based on the number of verified members in your organization's community. Current pricing and plan details are available at alumnia.net/pricing. We reserve the right to modify pricing with 30 days advance notice to active Subscribers.
9.2 Billing Cycle
- Monthly Billing: Subscriptions are billed monthly on a recurring basis. Your billing cycle begins on the date of your initial subscription and renews on the same day each month.
- Usage-Based Tiers: Your subscription tier is determined by the number of verified members in your organization at the time of billing. Only members with "verified" status count toward your tier limit; pending invitations and unverified users do not count.
- Automatic Tier Adjustment: If your verified member count exceeds your current tier limit, your subscription will automatically upgrade to the appropriate tier at your next billing cycle.
9.3 Grace Period
If your organization exceeds its current tier's member limit, you will receive a notification and have a fourteen (14) day grace period before any tier upgrade takes effect. During this grace period:
- Your community will continue to function normally without interruption
- You may remove members to stay within your current tier limit
- If you remain over the limit at the end of, your subscription will upgrade to the appropriate tier at the next billing cycle
9.4 Payment Terms
- Payment Methods: We accept major credit cards and other payment methods as displayed during checkout. You authorize us to charge your payment method for all subscription fees.
- Failed Payments: If a payment fails, we will notify you and attempt to process the payment again. Your account will be marked as "past due" until payment is successfully processed. Continued failure to pay may result in service interruption or termination.
- Taxes: Subscription fees are exclusive of applicable taxes. You are responsible for all taxes associated with your subscription, except for taxes based on Alumnia's net income.
9.5 Cancellation Policy
- Cancellation by Subscriber: You may cancel your subscription at any time through your organization's billing settings or by contacting us. Cancellation will take effect at the end of your current billing period.
- Effect of Cancellation: Upon cancellation, your organization will be downgraded to the Free tier (limited to 100 verified members). If your member count exceeds the Free tier limit, you will need to either reduce membership or resubscribe to a paid plan to maintain full functionality.
- Data Retention: Your organization's data will be retained for thirty (30) days after cancellation, during which you may export your data or reactivate your subscription. After this period, data may be permanently deleted in accordance with our Privacy Policy.
9.6 Refund Policy
- No Prorated Refunds: Alumnia does not provide prorated refunds for partial months of service. If you cancel mid-cycle, you will continue to have access to your paid features until the end of your current billing period.
- Billing Errors: If you believe there has been a billing error, please contact us at billing@alumnia.net within thirty (30) days of the charge. We will review and, if appropriate, issue a refund or credit.
- Discretionary Refunds: Refunds outside of billing errors are considered on a case-by-case basis at Alumnia's sole discretion.
9.7 Free Tier
Organizations on the Free tier may use Alumnia with up to 100 verified members at no cost. Free tier organizations are subject to these Terms and may upgrade to a paid plan at any time.
10. Termination
10.1 By You
You may delete your account at any time through your account settings. Deletion is subject to a 30-day grace period during which you can cancel the deletion.
10.2 By Us
We may suspend or terminate your account if you:
- Violate these Terms of Service
- Engage in prohibited conduct
- Pose a security risk to the Platform or other users
- Are removed by your organization's administrators
11. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
We are not responsible for the conduct of users or the accuracy of user-submitted content. Connections and interactions between users are at your own risk.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALUMNIA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM.
Our total liability for any claims arising from these terms or your use of the Platform shall not exceed the amount you paid us, if any, during the twelve months preceding the claim.
13. Indemnification
You agree to indemnify and hold harmless Alumnia and its officers, directors, employees, and agents from any claims, damages, or expenses arising from:
- Your use of the Platform
- Your violation of these Terms
- Your content or conduct
- Your violation of any third-party rights
14. Dispute Resolution
Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration, except where prohibited by law. You waive any right to participate in a class action lawsuit.
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions.
15. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or through the Platform. Your continued use of the Platform after changes take effect constitutes acceptance of the new Terms.
16. General Provisions
- Entire Agreement: These Terms constitute the entire agreement between you and Alumnia regarding the Platform.
- Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
- Waiver: Our failure to enforce any provision does not waive our right to enforce it later.
- Assignment: You may not assign these Terms without our consent. We may assign our rights freely.
